| The following persons and their close associates are prohibited from dealing in any of the SPAC’s listed securities prior to the completion of a De-SPAC Transaction: |

| (1) | SPAC Promoters, their respective directors and employees; |
| (2) | SPAC Directors; and |
| (3) | employees of the SPAC. |
